The Assistant General Counsel – Compliance will work under the direction of the Chief Litigation Counsel & Deputy Compliance Officer to help design, coordinate, implement and administer  ITW’s Compliance Program, policies and practices on a global level, focusing on the “80” compliance areas of anti-corruption, data privacy and anti-trust, consistent with:

a) ITW Legal’s objectives to provide pragmatic and business-oriented legal support to ITW’s operating segments; 

b) ITW’s 80/20, decentralized, entrepreneurial business model; and 

c) ITW’s Culture and Values of Integrity, Respect, Trust, Shared Risk and Simplicity.  

The role also supports legal training, the helpline reporting system, and corporate trade compliance, partnering closely with other corporate functions (such as Audit and HR) and with other global attorneys and professionals to provide legal advice and counsel for a variety of global ethics and compliance matters. 

Primary Responsibilities:

  • Support enterprise compliance strategy, structure and processes to ensure adherence to ethical standards and applicable rules and regulations through a clear and simple Compliance Program focused on the “Compliance 80” (anti-corruption, data privacy and anti-trust) as well as other compliance areas as determined
  • Assist with the creation of policies, processes and programs that promote ITW’s Compliance Program and facilitate effective mitigation and management of legal business risks and ensure compliance with ITW’s legal requirements
  • Develop, revise and effectively deliver ethics and compliance materials and communications to enhance awareness of ITW’s Compliance Program, including ITW Values and ITW’s Principles of Conduct (ITW’s code of conduct)
  • Manage and monitor reporting channels to encourage employees to seek guidance and report suspected violations, ethical issues and other possible improprieties without fear of retaliation
  • Assist or conduct internal investigations, including engagement of outside resources and collaboration with internal stakeholders as appropriate
  • Assist in advising on reporting of violations to enforcement agencies as appropriate, and help manage reported matters to conclusion with regulatory authorities
  • Act as an expert resource for parties with ethical, legal or compliance concerns
  • Partner closely with other members of the Legal Department to provide legal and strategic business advice to operating leaders on a wide variety of compliance matters, including anti-corruption, data privacy and anti-trust
  • Coordinate coworker legal training program that focuses on ITW’s Compliance Program
  • Advise business leaders and senior management of critical project developments
  • Support helpline reporting system and corporate trade compliance as determined
  • Provide reports as appropriate to keep stakeholders informed of the operation and progress of the Compliance Program, including any relevant issues or trends
  • Maintain current knowledge of laws, regulations and ethical standards with a view to continuously refine and adapt ITW’s Compliance Program to emerging laws, regulatory trends and industry best practices
  • Collaborate with and provide direction to and support of other professionals on the Compliance team across geographies
  • Assist with developing legal budget and proactively manage to that budget
  • Assume responsibility for special projects and assignments as determined
  • Manage outside counsel as needed


  • JD degree from an ABA-accredited law school and admission in good standing to at least one state bar required
  • 10+ years of legal experience with a corporation or law firm providing compliance advice across a broad range of business practices, including anti-corruption, data privacy, anti-trust and competition; experience conducting cross-border investigations a plus
  • Proven ability to work collaboratively across multiple corporate functions, operational segments and cultures while building strong personal and cross-functional relationships with a variety of stakeholders
  • Ability to work autonomously, issue spot and provide incisive, creative, pragmatic and business-focused advice and counsel
  • Communicates in a clear, concise and understandable manner, both orally and in writing; ability to convey complex legal issues to non-lawyers
  • Demonstrated leadership talent, with the ability to motivate and interface with coworkers at all levels by virtue of keen business acumen, excellent judgment, professional competence, emotional intelligence, credibility, flexibility and personal integrity
  • Exceptional interpersonal skills, with an ability to inspire trust and confidence with internal and external stakeholders
  • Strong project management experience and skills
  • Ability to balance strategic and tactical issues
  • Self-starter who is collegial, flexible and able to multi-task while working in a global team environment
  • Available for in-person consulting and collaboration, training, meetings and other business functions as required by the role; travel internationally as needed
  • Reasonable after-hours availability by email or telephone to receive and respond to communications
